PanTerra Gold Limited [PGI] - Share Issue to CAMIF in Lieu of Dividend Payment

7,833,891 PGI shares issued to Central American Mezzanine Infrastructure Fund ("CAMIF") at A$0.050459 each in lieu of cash payment for the dividend due on US$10m of Redeemable Preference Shares CAMIF holds in the Company.

PGI us currently constrained from paying the dividend from cash reserves by the Subordination Deed between CAMIF and the primary lender to the Las Lagunas project.
