ANNOUNCEMENT - COMPLETION OF TRANCHE 2 PLACEMENT AND SECTION 708 NOTICE
Nyota Minerals Limited (Nyota or the Company), the East African gold exploration and development company, confirms that it has completed Tranche 2 of its �4,000,000 placement with new institutional investors and existing shareholders including Centamin plc and Resource Capital Fund V LP.


Following the General Meeting held on 4 April and the receipt of �2,100,000 of Tranche 2 funds the Company has issued 105,000,000 ordinary fully paid shares (Shares) at an issue price of 2p ($0.03) each.

In addition, the Company has issued 4,100,000 Shares to the brokers involved with the Placing and 2,278,214 Shares to directors (and ex-directors) of the Company in lieu of directors fees owed.


The Company has also issued 12,470,000 Shares in respect of valid applications under the Share Purchase Plan (SPP) that closed on 2 April 2013 raising a further $374,100 (before expenses).
